How a room differs from a pack

Everything else in Docsroom is one person answering you. A room is several parties reading the same index: buyers for a business, investors in a round, bidders for a building.

  • Documents are shared with the whole room, read only
  • Each bidder is a party, with its own people
  • Bidders never see who else is in the room, or how many
  • A question becomes a request private to the party that asked
  • An answer can be shared with everyone in one action
  • Terms of access can be required before anything opens
  • Withdrawing a party’s access stops it at once
  • The whole room downloads as one ZIP

Terms first, or nothing

Until a bidder accepts the terms, the portal shows the terms and nothing else, and every document answers a refusal. Each acceptance is dated, against the party.

Questions stay in their lane

Diligence questions arrive as requests with a thread, an owner and a date, like everything else. They do not become a separate inbox.

Read only means read only

A bidder downloads and asks. Nothing in the room can be changed by the people reading it.

The index, and the documents. Their own questions and the answers to them. Nothing about anybody else in the room.
