Every bidder sees the room. No bidder sees the others.
A deal client puts each person on a party: the seller, and each bidder under its own name. The room is an index of documents the seller provides, shared with every party, read only. Questions are asked from the room and stay with the party that asked, the seller and your team, unless you choose to share an answer with everyone.

An index, provided against
The “Data room (business sale)” template lays out corporate, financial, tax, contracts, employees, property and legal sections, each a request the seller provides against. Bidders see what has been provided and what has not, download what is there, and cannot upload or change anything.

Each person’s link lasts 90 days and can be withdrawn in one click when a bidder drops out.
The room’s documents live where you run Docsroom. Nothing is copied to a third party to be read.
Docsroom does not watermark pages or block screenshots. For a large, hostile process you may want a specialist room; for most private company sales the index, the isolation and the log are what matter.
Terms before the door opens
A room can carry terms of access: a confidentiality undertaking, say. Until a bidder accepts them, their portal shows the terms and nothing else, and no document in the room can be opened or downloaded through their link. Each acceptance is recorded on the access log with the person, their party and the time, so the seller can show who agreed to what before they saw anything. Set the terms from the room’s menu; leave them empty and the room opens with the link.
